│提油救火經典案例：Disney 的公關回應正在讓 Scarlett Johansson 訴訟在好萊塢捲起更大的浪│

• Disney 提油救火：Scarlett Johansson 為了《Black Widow 黑寡婦》的複合發行方式控告 Disney 違約的事件，正在好萊塢捲起更大的浪。關於合約條款的糾紛在好萊塢是家常便飯，有時候雙方當事人甚至還可以心平氣和地繼續一起工作，把拿著法典互毆的武打戲交給各自委任的律師和法官去演。然而本案雙方當事人正好都是受到一般大眾高度關注的對象，使得 Disney 昨天第一時間措詞強硬的回應顯得相當不智。這個原本需要一定產業認識和契約知識的人才會覺得案情有趣的訴訟案，一夜之間就變成了整個地球上人人茶餘飯後的談資。

• 性別團體痛批 Disney 人身攻擊：Women in Film、ReFrame、Time’s Up 三個好萊塢的性別議題相關組織聯合發表聲明，痛批 Disney 的聲明是對 Scarlett Johansson 性別角色的人身攻擊。這三個組織在聯合聲明中表示他們對於整個產業面對疫情的應變以及雙方當事人的爭訟內容並沒有特定立場，但對於 Disney 在爭論過程之中對 Johansson 施以人身攻擊非常有意見。他們認為 Disney 試圖利用聲明文字將一名女演員塑造成一種自私自利、不顧大局的公關形象。明明整個產業的實際狀況是女性從業人員在保護自己權益的過程中遠比男性同業更顯無力，也更容易被貼上各種人身攻擊的標籤。

• 經紀公司稱 Disney 恬不知恥：雖然可以想像 Scarlett Johansson 的經紀公司應該是整起訴訟背後的主要推手之一。但過去好萊塢的經紀公司向來扮演的是檯面下的談判角色，鮮少在客戶的爭執之中站到第一線發言。好萊塢超級經紀公司 CAA 副主席 Bryan Lourd 罕見地在公開聲明之中以強烈用語痛批 Disney 毫無廉恥地錯誤指控 Johansson 對於疫情中的產業變動完全無視，並且還經刻意揭露她的片酬數字，藉以將她的個人成功變成一種攻擊武器，就好像事業太成功的女性應該要引以為恥一樣。

• Kevin Feige 怎麼說：Hollywood Reporter 的編輯 Matthew Bellon 在他的電子報中連續爆料各方反應。他說 Marvel Studios 的總裁 Kevin Feige 對此同時感到羞愧和憤怒。羞愧指的應該是對 Scarlett Johansson ，憤怒指的則是他上面的大老闆 Disney 公司。不過 Feige 的角色正是 Johansson 在《黑寡婦》製作中的直接雇主，這時候說羞愧跟憤怒不免有點把責任甩得太乾淨。報導指出 Kevin Feige 在過程中有努力向 Disney 爭取讓《黑寡婦》成為電影院專屬發行，但他任務失敗了。

• Emma Stone 也在考慮出手：同樣出自 Hollywood Reporter 的編輯 Matthew Bellon 在電子報中的爆料，說《Cruella 庫伊拉：時尚惡女》的女主角 Emma Stone 也在考慮比照 Scarlett Johansson 的做法，針對 Disney 未能遵照合約發行提起違約訴訟。作者同時也向本週同樣採取串流同步發行的 Disney 新片《Jungle Cruise 叢林奇航》的女主角 Emily Blunt 喊話，希望她也共襄盛舉。他強調 Disney 在這種狀況的應變上向來惡名昭彰地蠻橫，所有與 Disney 合作的創意工作者應該都要站到鎂光燈下仗義執言。

• 其他業界人士反應：許多人私底下非常支持，但具名發言的不多。目前只有 Marvel 電影《Guardians of the Galaxy 星際異攻隊》中性格直率的男演員 Dave Bautista 以及另一位男星 Alec Baldwin 發言支持。一位不具名的經紀人對 Variety 評論道 Scarlett Johansson 的明星聲望使她可以逼迫 Disney 跟她公開對話，而只有公開對話才有機會改變這種惡質做法。另一位業界人士則驚訝於事情居然會鬧到上法院，並認為 Disney 應該不會笨到與 Johansson 這麼大的明星公開對槓。不過另一位消息來源則認為目前的狀況應該是出自誤解，該案應該很快就可以和解落幕。

• Gerard Butler 也來湊一腳：雖然跟 Disney 完全沒有關係，但時間點非常巧合地在 Scarlett Johansson 提起訴訟的第二天，男星 Gerard Butler 也向法院控告他主演的電影《Olympus Has Fallen 全面攻佔：倒數救援》的片商違約。本案相對單純，跟疫情和串流發行完全沒有關係，純粹就是對帳對不上。Butler 在訴訟文件中列舉他查帳所得到的營收數據，指控片商支付給他的票房分紅有短少，同時還涉嫌浮報海外的發行成本藉以支付更少的分紅。如同昨天的讀報中說的，好萊塢合約經常會設有票房分紅獎金以及日後家庭娛樂、電視授權等等市場的所謂「重播費」分潤，為的是壓低明星酬勞，將電影成功與否的風險分攤給這些向來要價不菲的明星。但這種作法不只會有繁瑣漫長的會計流程，而且還經常在多年後鬧出帳目爭執。DVD 時代許多片廠就經常透過家庭娛樂分公司浮報 DVD 管銷成本，藉以讓明星永遠難以從當時正在秘密地大賺錢的 DVD 銷售之中分到錢。

　不少人都能朗朗上口說出「國家四要素」，
　確實這四個要素，
　也就是人民、領土、政府和對外交往能力，
　是一般在政治學和國際法上，
　討論到國家定義時會深究的條件。
　　
　但同樣的，
　在討論這四個要素之前，
　還有幾個基本觀念必須理解。
　
　其一，
　並非「具備常見的國家要素即成國家」，
　而是「通常一個主權國家擁有這些條件」。
　
　其次，
　這四要素並不是國際法上具有拘束力的原則，
　討論一個政治實體是不是國家，
　其實尚有更多補充性的客觀條件待審查，

　最重要也跟我們切身相關的就是最後一項：
　「主觀上的要素」。
　
　曾對於台灣地位撰文的一些學者都曾清楚說明，
　要進入前述幾個，
　客觀上國家要素是否具備的審查之前，
　前提是具備「想成為國家的意願」。
　
　伯明罕大學法學教授Colin Warbrick在《States and Recognition in International Law*》文中提到：
　”Of course, first the claim has to be made by an entity that it both is and wishes to be regarded as a State. There are few instances where an entity which might plausibly claim statehood has not done so─the case of Taiwan is the only current example.”
　【要討論一個實體是不是「國家」、
　　是不是具備客觀的四個要件之前，
　　第一步就是這個實體「自認為是國家」，
　　並且有意願「被認為是國家」。
　　在極少的情況中，

[A quick overview on choice of legal entities for international founders setting up in Taiwan, part 2]

Hi, I’m Norman, an AppWorks Analyst. Last week I introduced the first type of entity founders can set up in Taiwan: a representative office. If you missed the post, you can click here to find it: https://bit.ly/2DZMNoY

Today, I will move on to the other two types of entities: setting up a local company and setting up a branch office. This is for founders who are planning on doing some business here in Taiwan. Let’s get started!

Unless you are going to run a certain kind of business (e.g. construction, telecommunications, mansions management, etc.), then there’s no minimum working capital requirements for setting up these two types of entities, while founders need to apply for company registration and file Profit-seeking Enterprise Provisional Income Tax Return. So what’s the main difference between these two entities?

・Set up a local company: founders can apply for setting up a company as an individual or on behalf of the mother company. This is generally applicable to founders who wish to establish a company in Taiwan. This method of incorporation is much more involved than representative offices and branch offices, also it will be much easier to apply for multiple sources of government subsidies, and applicable to tax incentives authorized by the Statute for Industrial Innovation. However, if the company wires after-tax profits to the foreign mother company, 21% of the dividend income tax will be charged.

・Set up a branch office: it’s not possible to set up a branch office as an individual applicant, so if founders would like to set up a branch office, you must apply on behalf of the foreign mother company, saving you some time dealing with the shareholders’ structure and nominating directors. The advantage of setting up a branch office is that it is exempt from 21% tax on repatriation on after-tax profits to the parent company. However, a branch office is not considered a "legal entity," so if the founder signs the contract on behalf of the branch company, the parent company that would legally enjoy the rights and assume the liabilities eventually.

Of course there are other factors that international founders should take into account when deciding which type of entity will you set up in Taiwan, like the business model, tax considerations, if you are going to hire international professionals, etc. As a result, before deciding which kind of entity you would like to set up in Taiwan, make sure you already think of all the factors, pros and cons mentioned before.

Another question founders might wonder is: how long will it take to finish the whole application process? It will generally take 1-2 months, though it might take longer if too many apply at the same time.
